Nebius Group NASDAQ:NBIS shares climbed more than 2% in after-hours trading Monday after the AI cloud infrastructure company disclosed that Nvidia NASDAQ:NVDA beneficially owns a 9.3% stake.

The disclosed ownership includes Nvidia's previously reported $2 billion investment, consisting of about 1.19 million Nebius shares and pre-funded warrants covering roughly 21.07 million additional Class A shares. Under the filing, Nvidia is not permitted to exercise the warrants or sell the underlying shares before Sept. 11, 2026. Nebius said the stake is deemed beneficial ownership under U.S. Securities and Exchange Commission rules because the warrants may become exercisable within 60 days of July 13.

The filing does not represent a new investment but updates Nvidia's ownership position based on the existing financing arrangement disclosed earlier this year.

Nebius shares rose about 2.5% in extended trading following the filing after ending the regular session up 2.8%. Nvidia shares were little changed in after-hours trading. The investment underscores Nvidia's existing relationship with Nebius as demand for AI computing infrastructure continues to expand.
