General Meeting Results - Proposed Return of Capital and Delisting

Introduction:

Satsuma LSE:SATS announces that at the General Meeting held earlier today the Special Resolutions to return substantially all of the Company's capital and to seek the cancellation of the Company's listing on the Equity Shares (Commercial Companies) category of the Official List of the FCA (Listing) were duly passed by shareholders.  Accordingly, the Board has approved immediate action to prepare to close all the Company's trading activities and to sell the Company's Bitcoin.

Timetable:

The expected timetable for the Proposed Return of Capital is set out in the circular concerning the proposed Return of Capital (posted by the Company on 24th June 2026) ("Circular").

The Record Time for entitlement to B Shares is 6 p.m. on 3rd August 2026. Warrant holders have until such time to exercise Warrants in order for the resultant issued Ordinary Shares  to participate in the Return of Capital.

UK Court Process:

Once the total number of Ordinary Shares entitled to B Shares is determined, an application will be made to the UK High Court to confirm the Return of Capital.

The expected date for a Court hearing in respect of directions is 13th August 2026 and the expected date for the Court hearing to confirm the Return of Capital is 8th September 2026. On this timetable cancellation of the Company's listing is expected to be on 14th September 2026 with despatch of payments and CREST transfers being made by 28th September 2026.
