Rule 19.6(c) confirmation in respect of post-offer intention statements made in relation to De La Rue plc
ACR Bidco Limited ("ACR Bidco"), a company indirectly wholly-owned by funds managed and advised by Atlas FRM LLC (d/b/a Atlas Holdings LLC), announces that further to the completion of its recommended cash offer for the entire issued and to be issued ordinary share capital of De La Rue plc ("De La Rue"), which was effected by way of a scheme of arrangement under Part 26 of the Companies Act 2006 on 2 July 2025, its board of directors has duly confirmed in writing to The Panel on Takeovers and Mergers in accordance with the requirements of Rule 2.7(c)(iv) and Rule 19.6(c) of the Code that ACR Bidco has complied with its post-offer intention statements made pursuant to Rule 24.2 of the Code, as detailed in its announcement made under Rule 2.7 of the Code on 15 April 2025 and De La Rue's scheme document published on 9 May 2025.
