for Field Systems Designs Holdings Limited
FSD Group announces that, further to the completion of its recommended cash acquisition of the entire issued and to be issued ordinary share capital of Field Systems Designs Holdings Limited, which was effected by way of a scheme of arrangement under Part 26 of the Companies Act 2006 and became effective on 2 July 2025, it has duly confirmed in writing to The Panel on Takeovers and Mergers in accordance with the requirements of Rule 19.6(c) of the Code that FSD Group has complied with its post-offer intention statements made pursuant to Rules 2.7(c)(viii) and 24.2 of the Code as detailed in the Rule 2.7 announcement dated 6 May 2025 and in the scheme of arrangement document published on 15 May 2025.
